Introduction

These terms and conditions govern The Distributors Advantage Rewards Program for eligible Participating Members. Please read them carefully. All Terms and Conditions are subject to change at the discretion of Ausfec Limited trading as The Distributors (ACN 002 994 774). Each Member of The Distributors Advantage Rewards Program is bound by the following conditions of use.

Definitions

"Active Account" means a customer account that has had points rewarded for a period of six (6) months since the last loading of points to the account.

"Inactive account" means a customer account that has not had points rewarded for a period of six (6) months since the last loading of points to the account.

"Member" means a member of The Distributors Advantage Program being a Retailer or Other Customer who is not a Wholesale Customer. This Member orders their products from their local "The Distributors Warehouse" and are awarded The Distributors Advantage Rewards Points in this Program.

"Nominated Person" means the person within a Member that has signed documentation confirming their details and is eligible to earn The Distributors Advantage Rewards Points.

"Participating Advantage Partners/ Manufacturers" means manufacturers and/or suppliers of goods sold and distributed by The Distributors Warehouses. Purchases of these Advantage Partners/Manufacturers' products from The Distributors Warehouses are rewarded in the form of Advantage Reward Points to the Members.

"Program Manager" means Hachiko Pty Ltd (of 111a Union Street, McMahons Point NSW 2060, ABN 16 159 809 257) who has been appointed by The Distributors to manage The Distributors Advantage program

"The Distributors Sales Representative" means a sales representative of a local The Distributors Warehouse.

"The Distributors Warehouse" means a warehouse of The Distributors Group being an independent seller of confectionery, snacks and related goods.

"Reward Points" means accumulated reward points that can be redeemed for products and/or services.

"Rewards" means mastercards purchased using the The Distributors Advantage Reward Points balance.

"Website" means the rewards website built and managed by Hachiko for the purpose of providing information about The Distributors Advantage Rewards Program.

Who Can Join

3.1. The program is open to The Distributors non-national and non-corporate customers only who are approved to join from The Distributors or their local The Distributors Warehouse.

3.2. The only members that will benefit and participate in the program are Retailers or Other Customers which however do not include Wholesale Customers.

3.3. To become a member of the Program, applicants must have a valid email, register online and complete the application form

3.4. One nominated person only per Member will be awarded Advantage Reward Points on their The Distributors Advantage Rewards Account. The nominated person within each Member will not be eligible to earn Advantage Reward Points until all mandatory customer data is entered into the online application form including but not limited to first name, surname, email, Warehouse account number and business postcode

3.5. Membership is free, but The Distributors reserve the right to refuse an application for membership.

3.6. Participation in this program is deemed as acceptance of these terms and conditions.

3.7. Membership into The Distributors Advantage program is not open to employees, suppliers or agencies of The Distributors, or of The Distributors Warehouse, their family members and/ or anyone else connected to The Distributors.

3.8. Each separate Trading Account held by a Customer with their local The Distributors Warehouse must be individually registered into the program.

Earning Advantage Reward Points

4.1. Advantage Reward Points will only be awarded for purchases of Participating Advantage Partners/Manufacturers products ordered from The Distributors Warehouses as promoted on selected products and these may change from time to time at the sole discretion of The Distributors.

4.2. Reward Points can only accrue once The Distributors advise a Member via email for every Trading Account individually registered that their application to join the program has been successful.

4.3. Advantage Reward Points will be credited to a Member's account within thirty (30) business days from the end of the proceeding earning month. If a Member has a query over the amount of points earned on their The Distributors Advantage account, the Member has 30 days from date of the email statement to dispute this amount. After this date the points are deemed correct. Members are responsible to ensure that the email on their Advantage Reward account is valid and up-to-date.

4.4. The Distributors may, at their absolute discretion, withhold Advantage Reward Points at any time. If the member is in breach of trading terms, The Distributors may withdraw or cancel the value of any rewards from the nominated Member's balance.

4.5. Points may also be reversed where a transaction is cancelled by the Member or a refund is given by The Distributors Warehouses. The Distributors may correct erroneous, invalid points or adjust for reversed transactions at any time even if it would put the Member's account into a negative points balance.

4.6. Members may check their points balance 24/7 via The Distributors Advantage Website www.thedistributorsadvantage.com.au, or by contacting The Distributors Advantage Team via info@thedistributorsadvantage.com.au

4.7. Where there is no earning activity on the Member's account for a period of six (6) months, then their The Distributors Advantage Rewards Points will automatically expire. The Distributors may also terminate their membership and close their account. The Distributors will not contact Members to advise them of this.

4.8. From time to time, Members may receive Bonus Advantage Reward Points for promotions on products purchased from participating The Distributors Warehouse. The Distributors and The Distributors Warehouses have the right to limit promotional order quantities to 'standard' wholesale purchase quantities.

The Distributors Advantage Rewards

5.1. Advantage program members earn Advantage Reward Points for purchasing product from participating The Distributors Warehouses and can redeem the Advantage Reward Points earned for mastercards purchased through their rewards store.

5.2. Once The Distributors Advantage Reward Points have been credited to the Member's rewards account, the member may redeem their mastercards on-line at any time by visiting The Distributors Advantage website www.thedistributorsadvantage.com.au Mastercards can be claimed at any time on an active account for a period of eighteen (18) months after the rewards account has been loaded with these points. Reward Points that remain unused after that Period will be cancelled.

5.3. Reward Points used to claim a mastercard will be deducted from the Member's points balance. Fees and charges incurred through selected redemption items will be deducted from the member rewards account at the time of redemption. All rewards are subject to availability.

5.4. Only the nominated person on the Member account may claim rewards.

5.5. In the instance that a Member closes their business the Member must inform their Sales Representative or The Distributors Warehouse or The Distributors or Program Manager via info@thedistributorsadvantage.com.au in writing. From that date, no more Advantage Reward Points will be awarded to that account, the account will be closed and all Reward Points that remain unused at the time of account closure will be forfeited.

5.6. In the instance that a Member's name, address details or email changes, then the Member is required to notify their Sales Representative or The Distributors Warehouse or The Distributors or Program Manager. Should a retail outlet be sold or become bankrupt then the member is required to notify their Sales Representative or The Distributors Warehouse or The Distributors or Program Manager in writing.

5.7. Advantage Reward Points may not be transferred, sold or given to any other person. Advantage Reward Points have no cash or monetary value.

Virtual Prepaid Card

Your reward expiration date is shown on your Virtual Card. The expiration date has been established according to the Program rules. If you do not spend your card balance upon expiry any unused funds will be lost.

All taxes on reward dollars received are the sole responsibility of you, the cardholder. No substitution of rewards is allowed.

Any tax liability is the responsibility of the reward recipient and their employer.

Your Distributors Advantage Virtual Prepaid card may be used in person, online or by telephone anywhere MasterCards are accepted. At the time of purchase, you should know your account balance. You may obtain your current balance 24 hours a day, 7 days a week by logging into your Digital Wallet. If you attempt to make a purchase that exceeds your balance, the transaction will be denied. Cardholders are responsible for all purchases made with their Virtual Prepaid Card.

Any item you may wish to return is subject to the return policies of the individual merchant from which the merchandise or service was purchased. Returns will appear as a credit back to your card account as processed by the card issuer.

Your card is not a credit card; it is a prepaid card that can be used for purchase transactions up to the dollar amount available in your account: You can only spend what you have earned. Purchase transactions that exceed your available balance by any amount will be denied at the point of sale. You may be able to pay for the difference with cash, cheque, or another credit/debit card, depending on the specific merchant's policy.

Electronic Statements

6.1. An emailed statement will be issued monthly. It will show current Advantage Reward Points balance and points to expire at the end of the calendar month. The Distributors may vary the frequency and format of the rewards statement without notice. For your complete monthly activity statement, log into MyAccount on The Distributors Advantage Website at www.thedistributorsadvantage.com.au.

6.2. Queries about the Statement should be made by email to the published The Distributors Advantage Rewards email address info@thedistributorsadvantage.com.au or in writing to The Distributors with all supporting documentation.

6.3. Missing Reward Points requests must be mailed to The Distributors Advantage Rewards program, Locked Bag, 2018, North Ryde BC, NSW 1670, and be accompanied by a copy of the relevant invoice from The Distributors Warehouse within 30 days from the date the monthly statement has been issued. After this date the points are deemed correct.

6.4. An Advantage Rewards balance may also be obtained from the Member's Sales Representative or by calling The Distributors Advantage Customer Care team on 1300 653 726 or emailing info@thedistributorsadvantage.com.au

Leaving The Distributors Advantage Rewards Program

7.1. If a Member chooses to resign/wishes to opt out from the Program the Member must advise The Distributors in writing and give 30 days' notice to The Distributors Sales Representative.

7.2. If the nominated Person within a Member leaves the outlet/business then they must advise their sales representative or The Distributors Warehouse or The Distributors or Program Manager. The account will then be closed. If it is closed the Retailer will not earn any further Advantage Reward Points. All Reward Points that remain unused at the time of account closure will be forfeited.

7.3. If a Member of The Distributors Advantage Rewards Program dies, the executor of the estate must inform The Distributors in writing. The Distributors will inform the Program Manager in writing. All Advantage Reward Points will be forfeited.

7.4. If a Member sells their outlet/business the Member must inform their Sales Representative or The Distributors Warehouse or The Distributors or Program Manager in writing. From that date, no more Advantage Reward Points will be awarded to that nominated person's Member account and access to the account will be closed. All Reward Points that remain unused at the time of notification of the sold outlet/business will be forfeited.

7.5. The Distributors reserve the right to close the accounts of Members of the program who are deemed not to be eligible to participate in the program. The Distributors will provide 7 days' notice to cease Members cumulating Advantage Reward Points. A period of thirty (30) days after that will be provided to Members to redeem the Advantage Reward Points cumulated on their account. Advantage Reward Points that remain unused after that Period will be forfeited and the account will be closed.

Tax Liability

8.1. It is the responsibility of the Member to seek independent professional taxation advice in relation to the taxation effects arising from membership of and participation in The Distributors Advantage Rewards Program. In addition, the Member is responsible for any taxation liability (including GST) or other government fees and charges relating to membership.

8.2. The program owners and managers or parties associated with the program make no representations in relation to the tax consequences of membership in the program. The member is not entitled to rely upon statements or representations that may be made.

8.3. Members are responsible to pay all tax imposed in relation to the membership of the program and of redeeming rewards. The program owners and managers or parties associated with the program do not accept any liability for any current or future taxation requirement.

Program Alterations

9.1. From time to time The Distributors may vary the Terms and Conditions without prior notification. The Distributors will provide Members with 7 days notification of material changes to the Terms and Conditions on this website.

Withholding, Cancellation and Adjustment of Advantage Reward Points

10.1. The Distributors reserve the right to adjust Members total Advantage Reward Points if points have been incorrectly credited or debited for any reason.

10.2. The Distributors and The Distributors Warehouses may, at their absolute discretion, withhold Advantage Reward Points at any time. If the member is in breach of trading terms, the Distributors or The Distributors Warehouses may withdraw or cancel the value of any rewards from the Member's balance. The Distributors and The Distributors Warehouses are not liable for any loss or damage suffered resulting from withholding, cancellation or withdrawals made by The Distributors or The Distributors Warehouses in accordance with these terms and conditions.

10.3. The Distributors reserve the right to expire non-redeemed reward points eighteen (18) months after the date of addition to an account. The Distributors are not obligated to provide notification prior to expiring points.

10.4. The Distributors reserve the right to cancel a customer membership and expire remaining points immediately in the account when the account is deemed inactive i.e. no rewards points added to the account for a period of six (6) months. The Distributors are not obligated to provide notification prior to expiring points.

10.5. The Distributors reserve the right to cease the program at any given time, allowing participating active customers a period of thirty (30) days after the closure of the program, the opportunity to redeem the final Advantage Reward Points on their account.

10.6. The Distributors reserve the right to change the Reward Point Value of catalogue items without any notice

10.7. The Distributors reserve the right at their absolute discretion at any time to exclude any customer from inclusion in the Reward Program or to cancel the registration of any customer.

10.8. The Distributors is not responsible for Rewards received under a Rewards Program, any death or injury, loss or consequential loss or damage from a Reward or the loss, theft or destruction of a Reward or a Reward voucher.

10.9. Rights under the Trade Practices Act and warranties implied by law which cannot be excluded, subject to these rights and implied warranties, The Distributors provide no warranty with respect to the quality of the Rewards or their suitability or fitness for any purpose.

10.10. Any dispute concerning goods or services received as a Reward item shall be settled between the Rewards Provider who supplied the goods or services.

10.11. The Distributors reserves the right to change these Conditions of Use at any time.

10.12. Failure to enforce a particular Condition of Use does not constitute a waiver of that term or condition by The Distributors.

10.13. The Distributors may exercise any right, power or remedy in this document at its discretion and separately or concurrently with any other right, power or remedy.

Disputes

11.1. Any disputes, including those relating to current The Distributors Advantage Rewards Points earned shall be handled by The Distributors in accordance with The Distributors' Dispute Resolution Policy and resolved by The Distributors at their sole discretion. Any disputes, including those relating to current The Distributors Advantage Rewards Points earned should be, where relevant be accompanied by supporting document, and directed in writing to The Distributors Advantage Rewards Program, Locked Bag, 2018, North Ryde BC, NSW 1670.

11.2. All enquiries regarding The Distributors Advantage Rewards Points must be made within 30 days of the date of the statement.

Privacy

12.1. Eligible Members, unless otherwise advised by the qualifying customer, consent to the information which they submit being entered into a database and for The Distributors to use this information for future promotional, marketing and publicity purposes without any further reference or payment or other compensation to the qualifying customer.

Pogram Communications

13.1. By opting into the Distributors Advantage All Stars Rep Program and accepting the terms and conditions you are agreeing to receive regular marketing communications by email and SMS. You can opt out of these communications by following the unsubscribe instructions in the footer of all emails or replying STOP to SMS communications.
